vTalkInsight — Terms of Use (Private Offering)

Effective date: 1 October 2025

1. Parties & Agreement

These Terms of Use (“Terms”) govern access to and use of the vTalkInsight service (the “Service”). The contracting party is WanStone Capital LLP, trading as vTalkInsight (“vTalkInsight,” “we,” “us”). By creating an account or accessing the Service, you agree to these Terms. For information on personal data handling, see our Privacy Notice.

2. Private Offering; Access by Invitation

  1. Private Offering. The Service is provided on a private, non-commercial basis to friends and partners of vTalkInsight. Access is by invitation only and may be limited or withdrawn at our discretion.
  2. No resales. You may not sell, sublicense, or otherwise commercialise access to the Service.
  3. Invitations. Invitation links are single-use and may expire. You must not post or share invitation links publicly.

3. Eligibility; No KYC Duty

  1. Age. You represent that you are (a) at least 16 if located in the UK/EU, or 13 if located in the US, and (b) legally able to enter these Terms.
  2. Sanctions & export. You represent that you are not located in, ordinarily resident in, or accessing the Service from, any country or region subject to comprehensive sanctions under the laws of the United Kingdom, the European Union, or the United States; that you are not a sanctioned, denied, or restricted party; and that you will not use the Service for or on behalf of any such person or entity. You also agree not to mask your location through VPNs, proxies, or similar means to circumvent these restrictions and to cease use immediately if your status changes. We may suspend or terminate access where we reasonably believe your use would breach this Section or applicable law.
  3. Your responsibility; no verification duty. You are solely responsible for ensuring your eligibility. vTalkInsight does not perform customer due diligence/KYC in this private offering and has no obligation to verify your identity or eligibility. We may suspend or terminate access if we learn your access would breach these representations or applicable law.

4. Your Account & Communications

  1. Account. You must keep your credentials confidential and are responsible for activity under your account.
  2. Service emails. We may send you service or operational communications (e.g., access, security, material changes).
  3. Marketing emails. We may send marketing updates only if you opt in at sign-up or in settings. You can withdraw consent at any time via the unsubscribe link or your preferences.

5. Use of the Service; Acceptable Use

  1. Licence. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service for your own informational purposes during the private offering.
  2. No professional advice. The Service, including any AI-generated text, summaries, or commentary, is for information only. It is not investment, legal, tax, or other professional advice. You are solely responsible for your decisions and any reliance on outputs.
  3. AUP (Prohibited behaviour). You must not access the Service unlawfully; scrape, harvest, or bulk-download content or metadata; probe or bypass security/rate limits; reverse engineer; upload malicious code; misuse or publish outputs in a way that suggests endorsement; or access the Service from, or for the benefit of, sanctioned countries/regions or sanctioned/denied parties, including attempts to circumvent such restrictions via VPNs or proxies.

We may monitor for abuse and enforce technical limits to protect the Service.

6. Content; IP; Feedback

  1. Your content. You retain ownership of prompts, messages, and other content you provide (“User Content”). You grant vTalkInsight a worldwide, non-exclusive, royalty-free licence to host, process, store, transmit, and display User Content and to generate outputs to provide and protect the Service, and to analyse anonymised/aggregated data to improve the Service.
  2. Outputs. Subject to these Terms and third-party rights, you may use AI-generated outputs for your personal informational use.
  3. Our IP. vTalkInsight and its licensors retain all rights in the Service, models, software, and branding. No rights are granted except as expressly stated.
  4. Feedback. If you provide ideas or suggestions, you grant vTalkInsight a perpetual, irrevocable, royalty-free licence to use them without restriction or attribution.

7. Third-Party Services

The Service may rely on third-party hosting, authentication, storage, and AI providers. We are not responsible for third-party terms or services; you should review their policies where applicable.

8. Privacy

We handle personal data as described in our Privacy Notice, including account details, chat history, and operational logs. During the Private Offering we may retain chat history and logs to operate, secure, and improve the Service. You may request deletion as described in the Privacy Notice.

9. Availability; Changes; Suspension

We may update or change the Service at any time. The Service may be unavailable from time to time. We may suspend or terminate access immediately if you breach these Terms, if we discontinue the Private Offering, or for security/legal reasons.

10. Warranties & Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Outputs may be automated and may contain errors. Do not rely on the Service for financial or other professional decisions.

11. Liability

To the fullest extent permitted by law: (a) we are not liable for any indirect, special, incidental, consequential or punitive damages; and (b) our aggregate liability for all claims relating to the Service is limited to the greater of £1 or the total fees you paid to vTalkInsight in the 12 months before the claim (if any). Nothing in these Terms limits liability for fraud or fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.

12. Term & Termination

These Terms apply from your acceptance and continue until ended by you or us. You may stop using the Service at any time and may request account deletion. We may terminate or suspend access at any time for any reason, including discontinuation of the Private Offering.

13. Governing Law; Venue

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive or equitable relief in any jurisdiction.

14. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide service notice (e.g., email or in-app). The Effective date above shows the current version. Continued use after the Effective date constitutes acceptance.
